These Terms of Service govern your access to and use of Project Lead. We have written them to be straightforward โ€” please read them before using the platform.

Acceptance of Terms

Binding Agreement

By registering an account, clicking 'I agree', or otherwise accessing or using any part of the Project Lead platform ('Service'), you enter into a legally binding agreement with Project Lead ('Company', 'we', 'us', 'our') and agree to be bound by these Terms of Service ('Terms'). If you do not agree, you must immediately stop using the Service.

Age Requirement

You must be at least 18 years old to use the Service. By using the Service you represent and warrant that you meet this age requirement. We do not knowingly allow access to anyone under 18.

Business Use

The Service is intended for business and professional use only. You represent that you are acting in a commercial or professional capacity, not as a private consumer. Where mandatory consumer protection laws apply in your jurisdiction, those rights are not excluded by these Terms.

Updates to Terms

We may update these Terms from time to time. We will notify you of material changes by email and/or prominent in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes. If you do not accept the changes, you must stop using the Service before the effective date.

Language

These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version prevails.

Accounts & Access

Account Registration

You must provide accurate, current, and complete information when creating your account and keep it up to date. Providing false or misleading registration information is grounds for immediate termination. You are responsible for all activity that occurs under your account.

Credentials & Security

You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately at support@themgdev.com if you believe your account has been compromised or used without authorisation. We are not liable for any loss caused by unauthorised access resulting from your failure to protect your credentials.

One Account Per User

Each individual or legal entity may maintain only one active account. Creating multiple accounts to circumvent usage limits, free trial restrictions, suspensions, or bans is a material breach of these Terms and will result in immediate termination of all associated accounts without refund.

Account Verification

We may require email verification or other identity checks before granting full access. We reserve the right to verify the identity or legitimacy of any account at any time and to suspend access pending verification.

Platform API Access

Project Lead operates its own integration with the Google Maps Platform using a platform-wide API key managed by us. You do not need to provide, and should not be asked to provide, your own Google Maps API key. All search requests are processed through our integration subject to our platform usage policies and Google's Terms of Service.

Acceptable Use

Permitted Use

You may use the Service solely for lawful business development and professional sales outreach โ€” including identifying potential business clients, researching companies, and building prospect lists for your own direct outreach campaigns.

Prohibited Activities

You must not: (a) use the Service for any unlawful purpose or in violation of any applicable law; (b) use scraped data to send unsolicited bulk commercial communications (spam) in violation of CAN-SPAM, CASL, GDPR, or equivalent law; (c) resell, sublicense, redistribute, or make available raw data obtained through the Service to third parties as a standalone data product; (d) reverse engineer, decompile, disassemble, or attempt to extract the platform's source code or trade secrets; (e) use the Service to collect, process, or target data relating to minors; (f) use automated bots, scrapers, or scripts to access the Service outside of its official user interface; (g) circumvent, disable, or interfere with any rate limiting, access controls, or security features of the Service; (h) upload or transmit malicious code, viruses, or any material that interferes with the Service; (i) use the Service in connection with any discriminatory, harassing, or illegal profiling activities.

Your Legal Compliance Responsibility

You are solely and entirely responsible for ensuring that your use of data obtained through the Service complies with all applicable laws in every jurisdiction where you operate or send outreach. This includes, without limitation, GDPR (EU), UK GDPR, CCPA (California), CAN-SPAM Act (US), CASL (Canada), PECR (UK), and any sector-specific cold-outreach regulations. We provide tools; the lawful use of those tools is your obligation.

Data Accuracy Disclaimer

Business data sourced from Google Maps is provided 'as-is' and 'as available'. We make no representation or warranty that contact information is current, accurate, complete, or legally appropriate to use. You are solely responsible for verifying data before using it in any outreach or commercial activity.

Rate Limits & Fair Use

Usage limits are enforced per account and per subscription tier. Attempts to circumvent rate limits โ€” including through multiple accounts, proxies, or automated tooling โ€” are a material breach of these Terms and may result in immediate suspension or termination without refund.

Subscriptions & Billing

Available Plans

The Service is offered on the following subscription tiers: Trial (free, with limited capacity), Basic, Pro, and Agency. Feature availability and usage limits for each plan are described on the Pricing page. Plan features and pricing may change with at least 30 days' advance notice to existing subscribers.

Free Trial

New accounts receive a Trial plan with restricted search and export capacity. Trial limits are non-transferable and cannot be reset by creating a new account. No payment information is required for the Trial. At the end of the trial, continued access to full features requires a paid subscription.

Payment Processing

Payments for paid plans are processed by authorised third-party payment processors. We may change our payment processor at any time without notice, provided your billing terms remain materially unchanged. We do not store your full card number, CVV, bank account details, or other sensitive payment credentials โ€” these are held solely by the payment processor subject to their PCI-DSS compliance obligations.

Billing Cycle & Cancellation

Paid subscriptions are billed in advance on a recurring monthly basis. You may cancel at any time from your account Settings. Cancellation takes effect at the end of the current paid billing period; you retain access until that date. We do not prorate partial months.

Refund Policy

We offer a 7-day money-back guarantee on your first payment for any paid plan. To request a refund, email support@themgdev.com within 7 days of initial payment. Subsequent recurring payments are non-refundable except where required by applicable mandatory consumer protection law in your jurisdiction (which these Terms do not exclude).

Price Changes

We will notify you of any price increase affecting your active subscription at least 30 days in advance by email. If you do not cancel before the price change takes effect, you will be billed at the new rate at your next renewal.

Failed Payments & Downgrade

If a payment fails, we will attempt recovery up to three times over 7 days. If payment cannot be collected, your account will be automatically downgraded to the Trial tier. Data exceeding Trial limits may become inaccessible until a valid payment method is provided. We are not responsible for data loss resulting from a downgrade caused by payment failure.

Taxes

Displayed prices exclude applicable taxes (VAT, GST, sales tax, etc.) unless otherwise stated. You are responsible for all taxes applicable to your use of the Service in your jurisdiction. Where we are required by law to collect taxes, they will be added at checkout.

Intellectual Property

Our Intellectual Property

The Service, including its design, user interface, source code, algorithms, data models, branding, trademarks, and documentation, is owned by Project Lead or its licensors and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers any ownership rights in the Service to you.

Licence to Use

Subject to your full compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service solely for your internal business purposes during the term of your subscription.

Your Data & Content

You retain full ownership of all lead data you generate, store, and export through the Service. By using the Service you grant us a limited, worldwide, royalty-free licence to store, process, and display your data solely for the purpose of providing the Service to you. We do not use your lead data for any other purpose.

Restrictions

You must not copy, modify, distribute, sell, sublicense, create derivative works of, or reverse engineer any part of the Service. You must not remove or alter any proprietary notices, logos, or labels on the Service.

Feedback

If you provide suggestions, ideas, enhancement requests, or other feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, incorporate, and commercialise that feedback without any obligation or compensation to you.

Indemnification

Your Indemnity Obligation

You agree to indemnify, defend, and hold harmless Project Lead and its directors, officers, employees, contractors, agents, licensors, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your use of data obtained through the Service, including any outreach campaigns; (e) any claim by a third party that your use of the Service infringes their rights.

Our Right to Control Defence

We reserve the right, at your expense, to assume exclusive control of any matter subject to indemnification by you. You agree to cooperate fully with us in the defence of any such claim. We will use reasonable efforts to notify you of any claim as soon as practicable.

Disclaimers & Limitation of Liability

Service Provided 'As Is'

The Service is provided on an 'as is' and 'as available' basis without any warranty of any kind. To the fullest extent permitted by applicable law, we disclaim all warranties, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

No Guarantee of Availability

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses. We may modify, suspend, or discontinue any aspect of the Service at any time without liability, subject to any notice obligations in these Terms.

Limitation of Liability

To the maximum extent permitted by applicable law, Project Lead's aggregate liability to you for all claims arising from or relating to these Terms or the Service shall not exceed the greater of: (a) the total fees you paid to us in the 12 calendar months preceding the event giving rise to the claim; or (b) USD 100. This cap applies regardless of the legal theory (contract, tort, statute, or otherwise).

Exclusion of Consequential Damages

To the fullest extent permitted by law, Project Lead shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunities, even if we have been advised of the possibility of such damages.

Third-Party Services

The Service depends on third-party services including Google Maps Platform. We are not responsible for the availability, accuracy, reliability, or terms of any third-party service. Changes to, or outages of, third-party services may affect Service functionality without giving rise to any liability on our part.

Force Majeure

We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government actions, internet or power outages, cyberattacks, or failures of third-party service providers.

Termination

Termination by You

You may cancel your subscription and delete your account at any time via the Settings panel. Subscription cancellation takes effect at the end of your current paid billing period; account deletion takes immediate effect. Deletion is permanent and irreversible โ€” export your data before deleting.

Termination or Suspension by Us

We may suspend or terminate your account immediately, without prior notice, if you: (a) materially breach these Terms; (b) engage in fraudulent, abusive, or unlawful activity; (c) create legal, regulatory, or reputational risk for us or other users; or (d) fail to pay amounts due after the grace period. For non-material breaches, we will provide 7 days' written notice and an opportunity to cure before termination.

Effect of Termination

Upon termination for any reason: your licence to use the Service is immediately revoked; your access to the platform ceases; we will delete your account data within 30 days, except data we are required by law to retain (e.g., billing records). We are not liable for any loss resulting from termination in accordance with these Terms.

Survival

The following sections survive termination of these Terms: Intellectual Property, Indemnification, Disclaimers & Limitation of Liability, Governing Law & Disputes, and any accrued payment obligations.

Governing Law & Disputes

Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by and construed in accordance with the laws of the United Arab Emirates. Where mandatory consumer protection legislation in your country of residence provides greater rights, those rights are not excluded by this clause.

Informal Resolution

Before initiating any formal legal proceeding, you agree to contact us at support@themgdev.com and describe your issue in reasonable detail. We will use good-faith efforts to resolve the dispute informally within 30 days. This obligation does not prevent either party from seeking emergency injunctive relief.

Jurisdiction

If informal resolution is unsuccessful, disputes shall be subject to the exclusive jurisdiction of the competent courts of Dubai, UAE, except where mandatory local law requires that proceedings be brought in your jurisdiction.

Class Action Waiver

To the fullest extent permitted by applicable law, you waive any right to participate in a class, collective, or representative action against us. All claims must be brought on an individual basis.

Severability & Entire Agreement

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall continue in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Project Lead regarding the Service and supersede all prior agreements. Our failure to enforce any provision is not a waiver of that provision.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to any affiliate, successor, or acquirer without your consent, provided that your rights under these Terms are not materially diminished.
